1. Acceptance of Terms

By using ShopVoltique.com or the Voltique mobile application, you agree to these Terms. If you are acting on behalf of a business entity, you represent that you have authority to bind that entity.

Voltique LLC sells cryptocurrency mining equipment, electrical infrastructure equipment, containers, transformers, switchgear, PDUs, and related products.

Voltique may update these Terms. Where a change is material, Voltique will give at least [30] days' notice by email to the address on the account and by notice in the platform, and will ask users to accept the updated Terms before placing further orders. Each version carries a version number and an effective date, and superseded versions remain available in the archive linked at the foot of this page. Orders already confirmed remain governed by the version in force when the order was confirmed.

2. User Obligations

Users must provide accurate information and maintain account security.

By placing an order, you confirm that you are purchasing for legitimate commercial or industrial purposes and that your use complies with all applicable laws in your jurisdiction.

3. Quotes & Pricing

Quotes are estimates and may change based on availability, logistics, tariffs, manufacturer pricing, and market conditions.

All quotes provided by Voltique, including those generated by our AI concierge, Christy Solberg, are subject to hardware availability confirmation and are valid for 48 hours unless otherwise stated in writing.

Pricing is quoted in USD. Large-volume orders may be subject to revised pricing based on current manufacturer pricing, freight costs, and market conditions at time of invoice.

4. Orders & Payment

Formation of Contract

Placing an order is an offer to buy. A binding contract is formed only when Voltique issues a written order confirmation identifying the item, the price and the expected delivery window. Receipt of payment alone does not form a contract. Voltique may decline an order and return funds at any point before an order confirmation is issued.

Standard Payment Terms

Standard payment terms: 50% deposit required to reserve inventory; balance due prior to shipment. Full prepayment may be required for first-time clients.

We accept wire transfer (ACH/SWIFT), USDC, and approved credit instruments for verified enterprise accounts.

Pricing Errors

Prices are subject to correction. Where an item has been listed at an obviously incorrect price, Voltique may cancel the order before shipment and refund any amount paid, including where an order confirmation has already been issued.

Taxes and Duties

Prices exclude sales tax, use tax, VAT, customs duties and import charges. The Buyer is responsible for all such amounts. Where Voltique is required to collect tax, it will be added to the invoice. Buyers claiming exemption must supply a valid exemption or resale certificate before the invoice is issued.

Late Payment

Where Voltique agrees to invoice terms, payment is due within [30] days of invoice date. Overdue amounts accrue interest at [1.5] percent per month or the maximum rate permitted by law, whichever is lower. Voltique may suspend shipment of any outstanding order until overdue amounts are paid.

Order Cancellation by Voltique

Voltique reserves the right to cancel or refuse any order at its sole discretion, including where an item is unavailable, where a pricing error has occurred, where payment cannot be verified, or where proceeding would breach applicable law. Where Voltique cancels an order for which payment has been received, Voltique will refund the amount paid within [10] business days of cancellation, except where applicable law requires the funds to be blocked or rejected. Voltique may issue the refund by wire transfer or in cryptocurrency at its discretion. If the Buyer requests a refund in a payment method different from the one originally used, any exchange or conversion fees will be deducted from the refund amount.

5. Warranties

Manufacturer Warranties

Where a manufacturer warranty applies to an item, it is stated in that item's product listing. Voltique passes through to the Buyer whatever manufacturer warranty is available for that item, to the extent the manufacturer permits. Voltique is not the warrantor and does not administer, extend, or guarantee any manufacturer warranty. Some manufacturers limit or void coverage on resold, relocated or previously used equipment, and some require registration by the end user. Buyers should review the manufacturer's own terms before purchase. For questions about warranty coverage on a specific item, contact support.

Items Sold As Is

Items identified in the listing as "as is" are sold in their current condition with all faults, whether or not apparent on inspection. They carry no warranty from Voltique or from any manufacturer, and are not returnable except where required by law.

Disclaimer of Warranties

EXCEPT FOR THE EXPRESS OBLIGATIONS STATED IN THE RETURN AND REFUND POLICY AND ANY MANUFACTURER WARRANTY PASSED THROUGH UNDER THIS SECTION, VOLTIQUE PROVIDES ALL ITEMS "AS IS" AND DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. VOLTIQUE DOES NOT WARRANT HASHRATE, EFFICIENCY, POWER CONSUMPTION, UPTIME, PROFITABILITY, MINING REVENUE, OR CONTINUED COMPATIBILITY WITH ANY NETWORK, POOL OR FIRMWARE.

6. Product Information and Performance

Hashrate, efficiency, power consumption, uptime and any other performance figures shown in listings are manufacturer specifications or estimates. Actual performance varies with ambient conditions, power quality, firmware, configuration and site conditions. Voltique does not guarantee any level of performance, mining output, or return on investment. Mining profitability depends on network difficulty, cryptocurrency prices, pool performance and energy costs, all of which are outside Voltique's control and none of which Voltique predicts. Nothing on the platform is investment advice.

7. Intellectual Property

All content, trademarks, logos, product descriptions, and software remain the property of Voltique LLC or its licensors.

Users may not reproduce, distribute, or create derivative works from any Voltique content without express written permission.

8. Limitation of Liability

Voltique's total aggregate liability arising out of or relating to any order, whether in contract, tort, warranty or otherwise, will not exceed the total amount paid by the Buyer to Voltique for the specific order giving rise to the claim.

NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST MINING REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Nothing in this section limits or excludes liability for: fraud or fraudulent misrepresentation; wilful misconduct or gross negligence; death or personal injury caused by negligence; either party's indemnification obligations; the Buyer's obligation to pay amounts due; or any liability that cannot lawfully be limited. If any part of this section is held unenforceable, the remainder continues in effect, and the limitation will be reduced only to the minimum extent necessary to make it enforceable.

9. Export Control and Sanctions

The Buyer represents and warrants that: (a) neither the Buyer, any owner of 25 percent or more of the Buyer, any of its officers, nor any end user of the equipment appears on the OFAC Specially Designated Nationals list, the BIS Entity List or Denied Persons List, or any equivalent restricted party list; (b) the Buyer is not located in, organised under the laws of, or ordinarily resident in Cuba, Iran, North Korea, Syria, or the Crimea, Donetsk, Luhansk, Zaporizhzhia or Kherson regions of Ukraine; (c) the Buyer is not acting on behalf of any such person; (d) no funds used to pay for the order originate from any such person; and (e) the Buyer will not resell, re-export or transfer the equipment to any such person or destination.

Voltique may refuse, suspend or cancel any order, and may withhold shipment of an order already paid for, where Voltique determines that proceeding may breach applicable sanctions or export control law. Where funds are lawfully returnable, Voltique will return them. Where applicable law requires Voltique to block or reject funds, Voltique will do so and will not be liable to the Buyer for the blocked amount. The Buyer will indemnify Voltique against any penalty, loss or cost arising from a breach of this section.

10. Cryptocurrency Payments

Voltique accepts payment in USDT and USDC on ERC-20 and USDT on TRC-20, sent to a wallet address issued by Voltique for a specific order. Voltique does not operate an exchange, does not hold customer balances, and does not convert cryptocurrency on any customer's behalf. Cryptocurrency is accepted only as consideration for goods and services sold by Voltique.

Invoices are denominated in United States dollars. The token amount payable is calculated when the invoice is issued and is valid for [24] hours. If payment arrives after that window, or if the amount received is short of the invoice amount, Voltique will notify the Buyer and may require a further payment before the order proceeds. The Buyer is responsible for network fees. Voltique credits the amount actually received.

The Buyer must send payment from a wallet the Buyer controls. Voltique may screen originating wallet addresses against sanctions and illicit finance databases before clearing payment, and may reject or return funds where screening indicates risk. Payments sent to an incorrect address or on an unsupported chain may be unrecoverable, and Voltique is not liable for them.

11. Standard Clauses

Force Majeure

Neither party is liable for failure or delay in performance caused by events beyond its reasonable control, including natural disaster, war, terrorism, civil unrest, epidemic, labour action, port closure, customs delay, carrier failure, semiconductor or component shortage, grid failure, government action, or changes in law. The affected party will notify the other promptly and will resume performance as soon as practicable. This section does not excuse any obligation to pay amounts already due.

Indemnification

The Buyer will indemnify and hold harmless Voltique against any claim, loss, penalty or cost arising from the Buyer's breach of these Terms, the Buyer's use, installation or resale of the equipment, or the Buyer's breach of applicable law. Voltique will indemnify the Buyer against third party claims that equipment supplied by Voltique infringes a United States intellectual property right, provided the Buyer notifies Voltique promptly and allows Voltique to control the defence.

Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions continue in full force.

Entire Agreement

These Terms, together with the Privacy Policy, Shipping Policy, Return and Refund Policy and any written order confirmation, form the entire agreement between the parties. They supersede all prior discussions, marketing materials, quotations, proposals and representations. No statement made in conversation, email or marketing material forms part of this agreement unless incorporated into a written order confirmation signed by Voltique.

Assignment

The Buyer may not assign these Terms without Voltique's written consent. Voltique may assign these Terms in connection with a merger, acquisition, financing or sale of assets.

Notices

Formal notices to Voltique must be sent to the address in the Contact section and are deemed received on delivery. Notices to the Buyer will be sent to the email address on the account and are deemed received 24 hours after sending.

Survival

The sections covering warranty disclaimers, limitation of liability, indemnification, export control and sanctions, governing law and dispute resolution survive termination.

Waiver

A failure to enforce any provision is not a waiver of the right to enforce it later.

Termination and Suspension

Voltique may suspend or close an account where the Buyer breaches these Terms, where required by law, or where account information is materially inaccurate. Orders already confirmed will be completed unless the law requires otherwise.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of [New York], without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Informal Resolution

Before either party initiates arbitration, the party with the claim must give written notice to the other describing the claim and the relief sought, and both parties will attempt in good faith to resolve the dispute within [30] days of that notice.

Binding Arbitration

Any dispute not resolved informally will be finally settled by binding arbitration administered by [JAMS / AAA] under its [Commercial Arbitration Rules] then in effect. The seat of arbitration is [New York, New York]. The arbitration will be conducted by a single arbitrator selected in accordance with those rules. The arbitrator's award will be final and binding and may be entered as a judgment in any court of competent jurisdiction. The arbitration will be conducted in English.

Class Action Waiver

All claims must be brought individually. Neither party may bring a claim as a plaintiff or class member in any class, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims.

Jury Trial Waiver

EACH PARTY WAIVES ITS RIGHT TO A JURY TRIAL IN ANY LEGAL PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR ANY TRANSACTION.

Nothing in this section limits either party's right to seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration.
